Vendor Onboarding Agreement

This Vendor Onboarding Agreement (“Agreement”) is entered into between Motiv Tours Inc. (“Motiv”, “Platform”, “we”, “our”, or “us”) and the undersigned service provider (“Vendor”, “you”, or “your”).

By completing vendor registration and listing services on the Motiv platform, the Vendor agrees to the following terms.

1. Acceptance of Terms

By creating a vendor account, listing services, or accepting bookings through the Motiv platform, the Vendor acknowledges and agrees to be bound by:

  • This Vendor Onboarding Agreement

  • The Motiv Terms of Service

  • The Motiv Privacy Policy

  • Vendor Liability & Indemnification Agreement

  • Any additional policies or guidelines published by Motiv from time to time.

If the Vendor does not agree to these terms, they must not use the platform or accept bookings through Motiv.

2. Platform Description

Motiv operates as an online marketplace that connects customers with vendors offering travel, leisure, hospitality, nightlife, recreational, and other experience-based services.

Motiv acts solely as a third-party platform facilitating discovery and booking between customers and vendors.

Motiv does not own, operate, manage, control, or supervise any experiences or services provided by vendors.

3. Service Fees

The Vendor agrees that Motiv will charge a service fee equal to twenty percent (20%) of the total booking value for each completed booking made through the platform.

  • This fee will be automatically deducted from the booking amount prior to vendor payout.

  • The Vendor authorizes Motiv to process and collect this service fee from each transaction.

Motiv reserves the right to update service fees with reasonable notice to vendors.

4. Customer Service Fees

The Vendor acknowledges and agrees that:

  • Customers may be charged platform service fees in connection with bookings made through the Motiv platform.

  • All platform service fees charged to customers are non-refundable

Vendor cancellation or refund policies must not contradict the non-refundability of platform service fees.

5. Vendor Responsibilities

The Vendor represents and warrants that:

  • The Vendor holds all required licenses, permits, certifications, and approvals necessary to legally provide the services listed on the platform.

  • The Vendor operates in full compliance with all applicable local, provincial/state, and federal laws, regulations, and government legislation.

  • The Vendor maintains all required safety measures, safety devices, and operational standards mandated under applicable legislation.

  • The Vendor maintains appropriate insurance coverage where required for the services offered.

  • All information provided on the platform (including descriptions, pricing, availability, and safety disclosures) is accurate, truthful, and up to date.

6. Safety and Operational Responsibility

The Vendor acknowledges that they are solely responsible for the operation and safety of their services and experiences.

This includes but is not limited to:

  • Ensuring all activities are conducted safely

  • Providing and maintaining required safety devices and protections

  • Properly supervising participants where necessary

  • Following all applicable safety regulations and operational guidelines.

7. Liability Disclaimer

Motiv is not responsible or liable for:

  • Any accidents

  • Injuries

  • damages

  • losses

  • incidents

  • disputes

  • claims

that may occur before, during, or after a customer’s participation in an experience provided by a Vendor.

All experiences are provided solely by the Vendor, and the Vendor assumes full responsibility for the operation and delivery of their services.

The Vendor agrees to indemnify and hold harmless Motiv, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from the Vendor’s services or operations.

8. Platform Role

Motiv acts strictly as a third-party facilitator of bookings and discovery.

Motiv does not:

  • control the quality or safety of services

  • supervise vendors

  • guarantee customer behavior

  • guarantee vendor performance.

9. Vendor Content and Listings

The Vendor grants Motiv the right to display, promote, and distribute the Vendor’s listings, images, descriptions, and promotional content across:

  • the Motiv platform

  • marketing materials

  • social media channels

  • advertising campaigns

This license is granted for the purpose of promoting the Vendor’s services and the platform

10. Termination

Motiv reserves the right to suspend or terminate vendor accounts at its discretion if:

  • the Vendor violates this agreement

  • safety or legal compliance concerns arise

  • fraudulent activity is detected

  • direct communication with the customer prior to completion of the booking

Vendors may also terminate their participation by removing their listings and providing notice to Motiv.

11. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the jurisdiction in which Motiv Tours Inc. is incorporated.

12. Acknowledgment

By registering as a Vendor and listing services on the Motiv platform, the Vendor confirms that they:

  • Have read this Vendor Onboarding Agreement

  • Understand and agree to all terms

  • Confirm they are legally authorized and licensed to operate their services

  • Accept full responsibility for safety and operational compliance

Vendor Liability & Indemnification Agreement

Motiv and Vendor Liability and Indemnification Agreement

This Agreement applies to all Vendors listing services on the Motiv Platform.

1. Independent Vendor Status

Vendors are independent service providers and are not employees, partners, or agents of Motiv.

Vendors are solely responsible for the operation of their services.

2. Licensing and Legal Compliance

The Vendor represents and warrants that they:

  • hold all licenses, permits, and certifications required to legally operate their services

  • comply with all local, provincial/state, and federal laws

  • maintain compliance with government safety regulations applicable to their services

3. Safety Compliance

The Vendor agrees that all services provided through the Platform will:

  • follow applicable safety regulations

  • include all required safety measures

  • be conducted by properly trained personnel where required

4. Insurance

Vendors agree to maintain appropriate liability insurance coverage where applicable for the services offered.

Motiv may request proof of insurance at any time.

5. Assumption of Operational Responsibility

The Vendor accepts full responsibility for:

  • the operation of their services

  • safety of participants

  • equipment used in experiences

  • supervision of activities

6. Liability Disclaimer

Motiv shall not be liable for any:

  • accidents

  • injuries

  • property damage

  • financial losses

  • incidents

arising from experiences provided by Vendors.

All services are delivered solely by the Vendor.

7. Indemnification

The Vendor agrees to indemnify, defend, and hold harmless Motiv Tours Inc., its officers, employees, affiliates, and partners from any claims, damages, liabilities, costs, or expenses arising from:

  • Vendor services or operations

  • injuries to customers

  • regulatory violations

  • negligence or misconduct by the Vendor.

8. Acceptance

By listing services on the Motiv Platform, the Vendor confirms that they:

  • understand this agreement

  • accept all liability related to their services

  • agree to indemnify Motiv.
